  • H. Minimum Advertised Price Guidelines for Company Authorized Dealers

    Dealers shall adhere to the Company’s Minimum Advertised Price (MAP) Guidelines as set forth below, to the extent it complies with applicable laws and regulations in each territory where the Dealer operates.

    1. Introduction

      The Company is focused on maintaining a high-quality brand image and high margins for our Dealers. The Company greatly appreciates the efforts of all dealers to distribute our products and support their customers.

      In recognition of the investment in time and resources required for our high-quality dealers to provide the level of customer service and product knowledge expected from our customers, the Company is committed to enforcing policies which allow our dealers to maintain high profit margins through the sale of our products. To protect these procompetitive benefits, the Company has unilaterally established a Minimum Advertised Price (“MAP”) Policy. Pursuant to this policy, the Company reserves the right to revoke Authorized Dealer status, withhold Authorized Dealer benefits, and discontinue business with dealers who violate the MAP for Company Products.

    2. What is MAP?

      Advertising is paid, one-way communication through a medium in which the sponsor (such as a Snap One Dealer) is identified and the message is controlled by the sponsor. To encourage Dealers to establish the value of Snap One products, the Company maintains a Minimum Advertised Price (MAP).

      MAP is applicable in advertising Snap One products in all media including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as internet sites (including shopping cart discounts), social media sites, apps, or any other electronic media.

    3. Current MAP

      Snap One MAP is currently the MSRP price of each product.

    4. General Information

      Upon purchasing Snap One products for resale through Snap One or a Snap One authorized distributor, Dealer acknowledges understanding and acceptance of Snap One’s MAP Guidelines.

      Snap One Dealers are free to sell Snap One products at any price. The MAP guidelines described in this document relate to advertising only. If the Dealer decides to advertise below MAP levels and Snap One agreed to fund any portion of Dealer’s advertising, advertising payments to the Dealer will be affected. In addition, violations of MAP guidelines may result in the dealer being removed from the Dealer Locator and forfeiting the right to participate in other discretionary programs. Sanctions will be determined and executed by Snap One in its sole discretion. Snap One is not required to provide prior notice or issue warnings before taking any action under this policy.

    5. MAP and the Internet

      The same rules apply to internet sales as print. Snap One internet MAP compliance requires advertised prices should be at or above the MAP listed prices prior to placement in the shopping cart or member price.

    6. Complying with MAP Guidelines

      To maintain compliance with the MAP program, please note when advertising:

      • If advertising prices for Snap One products in promotional efforts, pricing must be at or above current MAP listing
      • Below-MAP price resulting from promotion or end-user rebates offered by Snap One is not a violation of the MAP guidelines. Please indicate “manufacturer rebate” in the ad
      • No “subtractions” including by including words such as “subtract”, “take away”, “less”, may be used if it makes product price below MAP except end-user rebates offered by Snap One
      • Dealer-wide promotions relating to all products may be advertised in a title or headline format at the top of a page or ad. However, individual Snap One products within the body of the ad must continue to meet MAP
      • Snap One’s MAP policy does not in any way limit the ability of any dealer to advertise that “they have the lowest prices” or, they “will meet or beat any competitor’s price”, or phrases of similar import as long as the price advertised or listed for the products is not less than MAP
      • Recertified or refurbished products may be advertised, but must be clearly identified as such (and apply any MAP provided).

      If a dealer with multiple store locations violates this MAP Policy at any one store location, or on any associated website, then Snap One will consider this to be a violation by the dealer.

    7. Other Considerations

      This Minimum Advertised Price Policy has been unilaterally adopted by Snap One. Snap One neither solicits nor will it accept assurances by any reseller of acquiescence with this Unilateral Policy. Nothing in this Unilateral Policy shall constitute an agreement between Snap One and any reseller of compliance with this Unilateral Policy. The reseller within its own discretion can choose to acquiesce or not acquiesce with this Unilateral Policy. Snap One will not discuss conditions of acceptance related to this Unilateral Policy. This Unilateral Policy is non-negotiable and will not be altered, modified, or amended for any reseller. Snap One may, at its sole discretion and without notice, modify products, prices, and these guidelines. This policy is void where prohibited by law.
