F. ADI EXCLUSIVE BRANDS SALES METHOD RESTRICTION POLICY

POLICY OVERVIEW

This policy applies to ADI’s Dealers of its exclusive brand Authorized Products and is intended to ensure that end customers safely receive the full and intended benefits of the Authorized Products, by getting the full support that only Dealers can provide. Dealers are required to provide installation and system design services for customers in association with sale of the Authorized Products. In association with these services, Dealers are required to maintain sufficient technical competency and customer service capabilities in order to ensure safe and efficient installation. Additionally, ADI is committed to enforcing policies which allow our Dealers to maintain high profit margins through the sales of the Authorized Products to maintain these pro-competitive benefits. Pursuant to this policy, ADI reserves the right to revoke Authorized Dealer status, withhold Authorized Dealer benefits, place Dealer on Probationary Status (as described in Section I of the Dealer Program Policies), and discontinue business with dealers who violate this policy.

PRODUCTS SUBJECT TO THIS POLICY

Unless otherwise provided within this policy Dealer Program Policies, all Authorized Products are subject to this policy. The following brands are not subject to this policy:

  • SunBriteTV-branded products (but these products remain subject to the SunBriteTV Third-party Marketplace Policy described in Section III.B. of the Dealer Program Policies)

COMPLIANCE

Dealers must refrain from the following prohibited sales methods for the Authorized Products and associated services:

  • Selling the Authorized Products without providing on-site installation or support services (reselling).
  • Selling the Authorized Products through cold-call telemarketing.
  • Use of any website, marketplace, or other online service to sell the Authorized Products including purchase methods such as shopping carts, displaying Authorized Product pricing, or “call to order” or “call for best price” solicitation methods. This restriction shall not prevent any Dealer from providing customer relationship management services and product selection services for customers, where they are providing on-site installation or support services, that are only accessible through a password-protection account login and not publicly visible.
  • Provision of remote system programming services for Authorized Products where the Dealer is not also providing on-site installation or support services. This restriction shall not prevent a Dealer from providing remote system programming services under the oversight and management of another Dealer that does provide on-site installation or support services.

CONSEQUENCES OF NON-COMPLIANCE

Non-compliance with the ADI EB Sales Method Restriction Policy will result in the following:

  • First incident of non-compliance: written warning, or if ADI believes, in its sole discretion, that the non-compliance was performed by a resale or distribution business that does not perform installation services, Termination of the Exclusive Brand Dealer authorization.
  • Second or subsequent incident of non-compliance or not remediating earlier instances: Probationary Status actions listed in Section I of the Dealer Program Policies, or if ADI believes, in its sole discretion, that the non-compliance was done with knowledge of the earlier violations, Termination of the Exclusive Brand Dealer authorization.
