F. ADI EXCLUSIVE BRANDS SALES METHOD RESTRICTION POLICY
POLICY OVERVIEW
This policy applies to ADI’s Distributor and their Dealers of its exclusive brand Products and is intended to ensure that end customers safely receive the full and intended benefits of the Products, by getting the full support that only Distributors and Dealers can provide. Distributor's Dealers are required to provide installation and system design services for customers in association with sale of the Products. In association with these services, Distributor's Dealers are required to maintain sufficient technical competency and customer service capabilities in order to ensure safe and efficient installation. Additionally, ADI is committed to enforcing policies which allow our Distributors and their Dealers to maintain high profit margins through the sales of the Products to maintain these pro-competitive benefits. Pursuant to this policy, ADI reserves the right to revoke Authorized Distributor status, withhold Authorized Distributor benefits, place Distributor on Probationary Status (as described in Section I of the Distributor Program Policies), and discontinue business with Distributors who violate this policy.
Distributor shall only enforce this policy in its and its Dealer's Territories to the extent legally permitted.
PRODUCTS SUBJECT TO THIS POLICY
Unless otherwise provided within this policy or the Distributor Program Policies, all Products are subject to this policy. The following brands are not subject to this policy:
- SunBriteTV-branded products (but these products remain subject to the SunBriteTV Third-party Marketplace Policy described in Section III.B. of the Dealer Program Policies)
COMPLIANCE
Distributor's Dealers must refrain from the following prohibited sales methods for the Products and associated services:
- Selling the Products without providing on-site installation or support services (reselling).
- Selling the Products through cold-call telemarketing.
- Use of any website, marketplace, or other online service to sell the Products including purchase methods such as shopping carts, displaying Authorized Product pricing, or “call to order” or “call for best price” solicitation methods. This restriction shall not prevent any Dealer from providing customer relationship management services and product selection services for customers, where they are providing on-site installation or support services, that are only accessible through a password-protection account login and not publicly visible.
- Provision of remote system programming services for Products where the Dealer is not also providing onsite installation or support services. This restriction shall not prevent a Dealer from providing remote system programming services under the oversight and management of another Dealer that does provide on-site installation or support services.
