Without in any manner prejudicing the right of Company to claim that any other breach or default of these Policies on the part of Dealer constitutes a material breach or default, it is understood and agreed that the failure of Dealer to comply with the provisions of these Dealer Program Policies shall constitute a material breach and default of this Agreement on the part of Dealer. Upon at least fifteen (15) days prior notice, Company may conduct (or have conducted) an audit of Dealer’s compliance with this Agreement. Such audits occur as frequently as Company deems reasonably necessary to ensure compliance with this Agreement.
